On October 14, 2021, FINRA permanently barred Edgar A. Kleydman from associating with any FINRA-member firm in any capacity (Case No. 2019064101401). Kleydman consented to this sanction without admitting or denying the findings that he refused to appear for on-the-record testimony during an investigation into whether he engaged in private securities transactions without providing written notice to his member firm—conduct prohibited under FINRA Rule 3280 (Private Securities Transactions of an Associated Person).

The investigation began after a customer complaint was submitted to FINRA.

Kleydman discloses four customer disputes:

  • FINRA Case #21-01711: Filed 07/04/2021, a customer of Equitable Advisors alleged fraud, breach of fiduciary duty, unsuitability, breach of contract, negligence, and violations of industry rules. The panel awarded $10,325 in compensatory damages plus interest on 03/09/2022.
  • FINRA Case #23-02609: Filed 09/26/2023, alleged Kleydman engaged in “selling away” by selling unapproved promissory notes, misrepresented returns, and made guarantees. The case settled for $250,000.
  • FINRA Case #21-00287: Filed 02/09/2021, alleged similar “selling away” conduct involving misrepresentations and guarantees. This dispute was settled for $15,000.
  • FINRA Case #17-02250: Filed 08/22/2017, alleged unsuitability regarding an equity listed investment during his time with J.P. Morgan Securities. This was settled for $55,000.

Such allegations suggest possible violations of FINRA Rule 2111 (Suitability) and FINRA Rule 2010 (Standards of Commercial Honor and Principles of Trade).
