A Texas State Securities Board Final Order (Order No. IC-25-SUS-03, April 2025) found that Mr. Agudeloisaza—while serving as co-owner and sole IAR of Advue Capital, LLC—recommended and sold two private placement offerings, “ION Fund” and “Rainmaker.” For the ION Fund, he facilitated investments by seven individuals and four promissory notes, receiving approximately $77,265 in commissions. He failed to update ADV’s Form ADV/disclosure documents to inform clients in writing that ADVUE would receive fees tied to the fund investments and notes. He also recommended that three individuals invest in Rainmaker, and all investment funds were lost while trading forex (five investors—including ADVUE and its co-owner—lost their entire investments). The Order further notes he was not registered as an agent or dealer in Texas when he sold the investments.
