The concern is that Mr. Beach may have failed to seek pre-approval for an entity which appears to have been established under a separate name and with a separate email domain to enter into the asset management business through the sponsorship of SPVs and/or Mr. Beach sponsored unapproved private securities transactions that were sponsored outside the approval process of the firm and without the knowledge and consent of management or Mr. Beach’s supervisors.”
