On September 28, 2023, the U.S. Securities and Exchange Commission filed a civil complaint in the Eastern District of New York (Case No. 1:23-cv-07250) alleging that Joseph Todaro and others engaged in excessive trading and unsuitable investment recommendations from August 2018 through June 2022 while associated with SW Financial.

According to the SEC’s complaint, Todaro and his co-defendants recommended over 2,000 trades in at least 16 customer accounts, causing over $1 million in losses while collecting more than $660,000 in commissions and fees. The complaint alleges violations of:

  • Section 17(a) of the Securities Act of 1933
  • Section 10(b) of the Securities Exchange Act of 1934
  • SEC Rules 10b-5 and Regulation Best Interest (Reg BI)

The SEC seeks penalties and fines as well as disgorgement.

In FINRA Case No. 23-00391, an arbitration award was entered against Todaro in the amount of $131,555 (see below), which he had not satisfied as of August 2024. This failure led to a suspension on August 12, 2024 under FINRA Rule 9554 and eventually a bar from acting as a broker for non-compliance with an arbitration award.
