In a regulatory action finalized in May 2025 (FINRA Case No. 2023079339301), Nicholas Stovall was barred from the securities industry for engaging in undisclosed private securities transactions totaling $1,401,690. He recommended promissory notes issued by construction finance entities to six clients who invested approximately $1.1 million. He personally invested $300,000. These investments later defaulted, and the issuers ceased operations. Stovall participated by telling investors about the promissory notes, explaining the terms, introducing investors to the issuers, helping the investors complete the investment documents and helping investors with the transfer of money to the issuers. A related Minnesota Department of Commerce action (Case No. 80970) resulted in a three-year bar, a $15,000 fine and a cease-and-desist order issued on February 5, 2025.
In June 2023, a customer dispute was filed (FINRA Case No. 23-01837), seeking $350,000 in damages due to unregistered promissory note investments. The matter settled for $150,000 in December 2024.
Stovall was permitted to resign from both Gradient Securities LLC and Gradient Advisors LLC following internal investigations into the promissory note transactions.
