Peter Chernin has been involved in a FINRA arbitration concerning alleged unsuitable investment recommendations tied to Section 1031 Exchange investments and Delaware Statutory Trusts (DSTs).

In 2/2024 a customer of Great Point Capital was paid $637,500 to resolve allegations that Peter Chernin made unsuitable recommendations to invest in Section 1031 Exchange investments. The customer also alleged failure to disclose risks, failure to perform due diligence prior to recommending the investment and a lack of supervision on the part of Great Point Capital.

According to recent press, another claim has recently been filed by a customer of Great Point Capital alleging that Mr. Chernin recommended that a retiree seeking conservative investments invest in Delaware Statutory Trusts (Inspired Senior Living of Mequon and Inspired Senior Living of St. Petersburg DSTs) . Since investing over $2 million, two of the investments have ceased making distributions and one of the companies he recommended, Inspired Healthcare Capital, recently filed Chapter 11 bankruptcy. Damages of $1 million are sought in this recently filed matter.

The FINRA arbitration included the following alleged misconduct:

  • Unsuitability— recommending Section 1031 Exchange investments allegedly inconsistent with the investors’ objectives and risk tolerance. This type of allegation commonly implicates FINRA Rule 2111 (Suitability).
  • Failure to Disclose Material Risks— customers alleged risks were not adequately revealed.
  • Failure to Supervise— allegations included claims against the broker-dealer for supervisory deficiencies, potentially implicating FINRA Rule 3110 (Supervision).
  • Failure to Perform Adequate Due Diligenceon complex alternative investments such as 1031 Exchange programs.

Delaware Statutory Trust-A Delaware Statutory Trust (DST) is a legally recognized real estate investment trust (REIT) in which investors can purchase fractional ownership in property as beneficiaries of the trust.

Internal Revenue Ruling 2004-86 declared that DST’s are like-kind and therefore qualify as 1031 exchange property. A 1031 exchange allows real estate investors to swap one investment for another and defer capital gains taxes.

Ownership of real property as a beneficiary of the DST offers investors the same benefits and risks as direct ownership without the management responsibility since a trustee is appointed to manage the property on behalf of the investors. Since the IRS has declared ownership of real property via a Delaware Statutory Trust to be like kind property for purposes of 1031 exchange, a much broader and diverse selection of investment property is now available.
