Did You Lose Money With Shailesh N. Negandhi As Your Stockbroker?

Mr. Negandhi is the subject of a customer dispute arising from his tenure at UBS Financial Services Inc. In FINRA Case No. 20-01973), filed in 2020, the customer alleged unsuitability and misrepresentation with regard to recommendations to invest in and hold an options overlay strategy (identified in the broker statement as UBS’s Yield Enhancement Strategy “YES”). The matter settled in May 2022 for $350,000.

In August 2024, the Texas State Securities Board (TSSB) entered a Final Order (REG-24-SUS-07) reprimanding and suspending Mr. Negandhi (IAR capacity) for three months (8/16/2024–11/16/2024) after finding a pattern of short-term trading in closed-end funds without a reasonable basis and contrary to firm policy.

Mr. Negandhi was discharged by UBS Financial Services Inc. on 03/24/2022 after review determined violations of firm policies related to handling and suitability of client investments.

UBS Financial Services Yield Enhancement Strategy – An options overlay strategy targeting high net worth investors which promised an incremental yield on the investor’s portfolio. Investors were led to believe the YES Program was an Iron Corridor, a low risk options “overlay” strategy, however that was incorrect. Unlike an Iron Corridor, the UBS YES Program’s purchase (calls) and sale (puts) of options was not symmetrical. In addition, UBS bought put options which were further out of the money than the call options. If UBS customers had been apprised of the true risks of the YES Program, they would probably not have invested. Other investigations involving UBS Financial YES Strategy

  • Unsuitability — recommending/maintaining positions (e.g., options overlay/YES) without a reasonable basis or customer-specific suitability (FINRA Rule 2111), as alleged in the arbitration.
  • Short-Term Trading in Closed-End Funds Without a Reasonable Basis — identified by the Texas State Securities Board; such conduct implicates reasonable-basis suitability principles under FINRA Rule 2111.
